# 利用規約 / Terms of Service

以下は Tonight? アプリ〖以下、「当サービス」といいます〗の利用規約です。当サービスをご利用いただく前に必ずお読みください。英語版は日本語版の後に記述しています。

## 第1条（適用）

1. 本規約は、当サービスの提供条件および利用者と当サービスとの間の権利義務関係を定めることを目的とし、利用者が当サービスを利用する際の一切の行為に適用されます。  
2. 当サービスがウェブサイトやアプリ内に掲載する個別規定その他の規約等は、本規約の一部を構成するものとします。

## 第2条（定義）

1. 「利用者」とは、本規約に同意の上、当サービスを利用するすべての個人または法人をいいます。  
2. 「コンテンツ」とは、文章、画像、動画、音声、プログラムその他の情報を含みます。

## 第3条（登録）

1. 当サービスの利用を希望する者は、本規約に同意の上、当サービス所定の方法により利用登録を申請し、当サービスがこれを承認することで利用登録が完了します。  
2. 当サービスは、登録申請者に以下の事由があると判断した場合、登録の不承認または取消を行うことがあります。  
   * 虚偽の事項を届け出た場合  
   * 過去に規約違反等により利用停止等の処分を受けたことがある場合  
   * その他、当サービスが利用登録を適当でないと判断した場合

## 第4条（禁止事項）

利用者は、当サービスの利用にあたり、以下の行為をしてはなりません。

* 法令または公序良俗に反する行為  
* 犯罪行為に関連する行為  
* 当サービスや他者のサーバー・ネットワークの機能を破壊または妨害する行為  
* 当サービスの運営を妨害する行為  
* 他者の個人情報等を取得または蓄積する行為  
* 他者になりすます行為  
* 当サービスの他の利用者に不利益・損害・不快感を与える行為  
* 反社会的勢力に実際または間接に利益を与える行為  
* その他、当サービスが不適切と判断する行為

## 第5条（サービスの提供の停止等）

1. 当サービスは、以下のいずれかの事由があると判断した場合、利用者に事前に通知することなく当サービスの全部または一部の提供を停止または中断することがあります。  
   * システムの保守点検または更新を行う場合  
   * 地震、落雷、火災、停電、天災地変などの不可抗力によりサービス提供が困難となった場合  
   * コンピュータまたは通信回線等が事故により停止した場合  
   * その他、当サービスがサービス提供が困難と判断した場合  
2. 当サービスは、サービスの提供の停止または中断により利用者または第三者が被った不利益や損害について、一切の責任を負わないものとします。

## 第6条（免責事項）

1. 当サービスは、利用者が当サービスに掲載した情報について、その正確性や完全性を保証するものではありません。  
2. 当サービスは、利用者間または利用者と第三者の間で生じた取引、連絡、紛争等について一切責任を負いません。  
3. 当サービスの利用に関連して利用者が被った損害について、当サービスの故意または重大な過失による場合を除き、当サービスは一切の責任を負わないものとします。

## 第7条（サービス内容の変更等）

当サービスは、利用者に通知することなく、当サービスの内容を変更、追加または廃止することができるものとします。

## 第8条（利用規約の変更）

当サービスは、必要と判断した場合には、利用者に通知することなくいつでも本規約を変更することができるものとします。変更後の利用規約は、当サービスに掲示した時点から効力を生じるものとし、利用者が当サービスを利用した時点で当該変更後の規約に同意したものとみなします。

## 第9条（通知または連絡）

利用者と当サービスとの間の通知または連絡は、当サービスの定める方法によって行うものとします。当サービスは、利用者から、当サービスが別途定める方法に従った変更届出を行わない限り、現在登録されている連絡先に対して通知または連絡を行い、これらは発信時に利用者まで到達したものとみなします。

## 第10条（準拠法・裁判管轄）

本規約の解釈にあたっては、日本法を準拠法とします。当サービスに関して紛争が生じた場合には、運営者の本店所在地を管轄する裁判所を専属的合意管轄とします。

## Terms of Service (English)

These Terms of Service (the "Terms") govern the use of the Tonight? application and related services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms. The Japanese version precedes the English translation; in the event of any conflict, the Japanese version shall prevail.

### Article 1 (Scope)

1. These Terms set forth the conditions for providing the Service and the rights and obligations between the Service and users. They apply to all aspects of the use of the Service.  
2. Any individual terms or rules posted on the Service are deemed part of these Terms.

### Article 2 (Definitions)

1. "User" means any individual or entity that agrees to these Terms and uses the Service.  
2. "Content" includes text, images, videos, audio, programs and other information.

### Article 3 (Registration)

1. A person wishing to use the Service must agree to these Terms and apply for use in the manner specified by the Service; registration is complete when the Service approves the application.  
2. The Service may reject or cancel registration if the applicant:  
   * Provides false information  
   * Has previously violated the Terms  
   * Otherwise is deemed inappropriate by the Service

### Article 4 (Prohibited Acts)

Users shall not engage in any of the following acts in connection with the Service:

* Acts that violate laws or public order and morals  
* Criminal acts  
* Acts that disrupt or hinder the functions of the Service’s servers or networks  
* Acts that interfere with the operation of the Service  
* Collection or accumulation of personal information about others  
* Impersonation of others  
* Acts that cause disadvantage, damage or discomfort to other users  
* Providing benefits directly or indirectly to antisocial forces  
* Any other acts deemed inappropriate by the Service

### Article 5 (Suspension of the Service)

1. The Service may suspend or interrupt all or part of the Service without prior notice to the user if:  
   * Maintenance or updates of the system are performed  
   * Provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages or natural disasters  
   * Computers or communication lines stop due to accidents  
   * The Service otherwise deems it difficult to provide the Service  
2. The Service shall not be liable for any damages incurred by users or third parties due to suspension or interruption.

### Article 6 (Disclaimer)

1. The Service makes no warranty as to the accuracy or completeness of information provided by users.  
2. The Service assumes no responsibility for transactions, communications, or disputes between users or between a user and a third party.  
3. Except in cases of intentional misconduct or gross negligence by the Service, the Service shall not be liable for any damages arising from the use of the Service.

### Article 7 (Changes to the Service)

The Service may modify, add, or discontinue any aspect of the Service at any time without notice to the user.

### Article 8 (Modification of Terms)

The Service may revise these Terms at any time without notice if it deems necessary. The revised Terms will become effective when posted on the Service, and users shall be deemed to have agreed to them by continuing to use the Service.

### Article 9 (Notice and Communication)

Notices or communications between the user and the Service shall be made in the manner determined by the Service. Unless a user submits a change notification as separately prescribed by the Service, the Service will deem the registered contact information valid and will send notices or communications to that address; such notices are considered to have reached the user at the time of dispatch.

### Article 10 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan. Any disputes arising out of or relating to the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the Service operator’s principal office.
